Welcome to Nicklz. These Terms and Conditions (“Terms”) govern your use of nicklzny.com (the “Site”), our online menu and ordering tools, and your purchases from our stores and delivery service. By using the Site or placing an order, you agree to these Terms. If you do not agree, please do not use the Site or our services.

In these Terms, “Nicklz,” “we,” “us,” and “our” mean the licensed adult-use cannabis retailer operating at 797 8th Ave, New York, NY 10019 and 32-62 Steinway St, Astoria, NY 11103.

1. You Must Be 21 or Older

Our Site and products are for adults 21 and older only. By using the Site or placing an order, you confirm that you are at least 21 years old. We verify age with valid, government-issued photo ID at pickup, at delivery, and at the store. We will refuse service, and cancel any order, if you cannot show valid ID proving you are 21 or older. We never sell to or deliver to anyone under 21.

2. Who We Are and Legal Compliance

We operate under New York State’s adult-use cannabis laws and the oversight of the New York Office of Cannabis Management. Cannabis remains illegal under federal law. You agree to follow all applicable federal, state, and local laws when buying, carrying, and using our products.

You agree that you will not:

• Resell or give our products to anyone under 21
• Take cannabis products across state lines or onto planes, trains, or buses
• Drive or operate machinery after using cannabis
• Use our products anywhere the law prohibits it

3. Product Information and Medical Disclaimer

Product descriptions, photos, strain information, potency (THC/CBD) figures, and prices on the Site are provided for general information. Product packaging and labels control if there is a difference. We work to keep the menu accurate, but inventory, pricing, and product details change often and may contain errors.

Nothing on the Site, in our blog posts, or from our staff is medical advice. We do not claim that any product treats, cures, or prevents any disease or condition. Cannabis can impair judgment and coordination, and effects vary by person and product. Start with a low dose, wait for the effects, and talk to a healthcare professional if you have questions about your health or medications. Keep all products out of reach of children and pets.

4. Online Orders, Pickup, and Delivery

Orders. Orders placed through the Site or our online menu are requests to buy and are not guaranteed until we confirm them. We may limit quantities, refuse or cancel any order, or correct errors in pricing or availability. Purchase limits set by New York State apply.

Pricing and taxes. Prices are shown at checkout. State and local taxes that apply to adult-use cannabis are added to your order as required by law.

Payment. We accept the payment methods shown at checkout or in store. You agree to provide accurate payment information. Cannabis is a cash-heavy industry and some card types may not be accepted; please check the payment options shown at checkout.

Pickup. Bring valid government-issued photo ID showing you are 21 or older. We may hold orders only for a limited time, and unclaimed orders may be cancelled and returned to inventory.

Delivery. Delivery is available only where and when we offer it, as shown on the Site or at checkout, and may be limited by address, time window, order minimums, and availability. Someone 21 or older with valid ID must be present to receive the order, and we will not leave an order unattended. A delivery attempt may be cancelled if ID cannot be shown, the recipient appears intoxicated, or the delivery address is not eligible. Delivery times are estimates and are not guaranteed.

5. Returns, Refunds, and Product Issues

New York law generally does not allow cannabis products to be returned or exchanged once they leave the store, except where the law or a recall requires otherwise. If you have a problem with your order, such as a missing item or a product you believe is defective, contact us right away at info@nicklzny.com or (646) 386-7972 and keep the product and packaging. We will review each case and may offer a remedy at our discretion.

6. Promotions, Deals, and Loyalty Offers

Promotions, discounts, and rewards are subject to the terms shown with each offer. They may be changed or ended at any time, cannot be combined unless stated, have no cash value, and are void where prohibited by law. We reserve the right to cancel any promotion or order we believe was obtained through abuse or fraud.

7. Your Account and Information

If you create an account or give us information, you agree to provide accurate and current details. You are responsible for activity on your account and for keeping your login details confidential. Our handling of your personal information is described in our Privacy Policy.

8. Use of the Site

You agree not to:

• Use the Site for anything unlawful or in a way that could harm us or others
• Try to gain unauthorized access to the Site, its systems, or other users’ information
• Use bots, scrapers, or automated tools to copy or overload the Site without our written permission
• Submit false information or place orders under someone else’s identity

We may suspend or block access to the Site at any time for any reason, including suspected violations of these Terms.

9. Intellectual Property

The Site and its content, including text, images, logos, graphics, and design, belong to Nicklz or our licensors and are protected by intellectual property laws. You may view and print content for your personal, non-commercial use. You may not copy, reproduce, distribute, or create derivative works from the Site without our written permission. Brand names and logos of the products we sell belong to their owners.

10. Third-Party Services and Links

The Site uses third-party tools, including our online menu and ordering provider and payment processors, and may link to other websites. We do not control and are not responsible for third-party services or sites, and your use of them is under their own terms and policies.

11. Text and Email Messages

If you opt in to receive texts or emails from us, you agree to receive them. Message frequency varies and message and data rates may apply. Reply STOP to any text to opt out, or use the unsubscribe link in any email. Consent to marketing messages is not a condition of any purchase.

12. Disclaimers

The Site and our services are provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free, or free of harmful components, or that menu information will always be accurate or current.

13. Limitation of Liability

To the fullest extent the law allows, Nicklz and its owners, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Site or our products. Our total liability for any claim relating to the Site or an order will not exceed the amount you paid for the order at issue. Some jurisdictions do not allow certain limitations, so some of these may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnification

You agree to defend and hold harmless Nicklz and its owners, employees, and affiliates from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms or the law, or your misuse of the Site or any product you buy.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute arising from these Terms or your use of the Site will be brought in the state or federal courts located in New York County or Queens County, New York, and you consent to their jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date. Continuing to use the Site after changes are posted means you accept the updated Terms.

17. Severability and Entire Agreement

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms and our Privacy Policy are the entire agreement between you and Nicklz about the Site and its use.
